EAGLE CREST MEN’S GOLF CLUB BY-LAWS

ARTICLE I - GENERAL

Section A:  The name of this organization shall be known as the Eagle Crest Men’s Golf Club (ECMGC)

Section B:  The purpose of the ECMGC is to promote and foster fellowship among male members of the Club.

Section C:  The Eagle Crest Golf Management Director of Golf, or his designated representative, will be invited to participate in Board of Director meetings to provide planning and scheduling assistance.

Section D:  The ECMGC shall be operated as a non-profit association, pursuant to IRS Code Section 501c (7), and will not operate in a manner which discriminates on the basis of race, religion, or other protected categories.

ARTICLE II – MEMBERSHIP

Section A:  Membership is open to all adult male golfers who have been accepted by the Board of Directors. 

Section B:  In order to participate in special events and major tournaments, a member must have played in at least 5 regularly scheduled ECMGC events in the previous twelve month period  and must have and maintain a GHIN handicap.

Section C:  Members will be assessed an annual membership fee in an amount approved by the Board of Directors.

Section D:  Members will be required to pay an amount, as approved by the Board of Directors, to participate in weekly events, tournaments, and all other special events as outlined in Article VI.

ARTICLE III – OFFICERS

Section A:  The officers of ECMGC shall consist of a President, Vice-President/ Secretary, and Treasurer.  The officers shall be called the Executive Committee.  The officers will appoint a chairman for the Golf Committee, a chairman for the Handicap Committee, and a chairman for the Advisory Committee.  The officers, along with the chairmen of these committees will constitute a Board of Directors.  All members of the Board of Directors shall have voting privileges.

Section B:  The Executive Committee (Officers) shall be elected by a vote at the general membership meeting in October and shall serve without compensation for a period of two years beginning on November 1 and ending on October 31.  Officers are only elected for a two year period. 

 

 

ARTICLE IV – MEETINGS

Section A:  The ECMGC shall have a general membership meeting at least once a year.  The Board of Directors shall meet at a minimum of three times a year, and more often as necessary.

Section B:  All members in good standing shall have voting privileges at the general membership meeting.  Only members of the Board of Directors shall have a vote in matters coming before that group.

Section C:  A quorum for a general membership meeting shall be 20% or more of the general membership.   For Board of Director meetings, a quorum shall be 50% of the Board Members.

ARTICLE V – FINANCIAL

Section A:  The ECMGC shall operate as a non-profit organization.    All bank accounts shall be opened under the ECMGC name.

Section B:  Checks drawn on club bank accounts shall require the signatures of one Officer.  All Officers have signatory rights.  Payments for goods or services shall be by a written check.

Section C:  The ECMGC fiscal year shall be November 1 through October 31.

ARTICLE VI – COMMITTEES

Section A:  Committee chairmen will be appointed by the Executive Committee of the Club.    Committee chairmen may appoint members to their committees with the approval of the Executive Committee.

Section B:  Executive Committee

1.        President.  The president shall be the chief executive officer and preside over all meetings of the general membership and the meetings of the Board of Directors.

2.       Vice President/Secretary.  The vice president shall serve in the absence of the president or perform duties assigned by the president.  The secretary shall keep a full and complete record of the proceedings of all Executive Committee meetings and general membership meetings.  The minutes shall be recorded and maintained by the Secretary.  All other Committees shall keep and record minutes of their committee meetings.

3.       Treasurer.  The Treasurer shall be the custodian of the Club’s funds and shall deposit such funds in a bank/depository designated and approved by the Executive Committee.  The Treasurer will keep the Executive Committee advised of the current financial condition of the Club.  The Treasurer shall report on the financial condition of the Club at each annual general membership meeting. 

 

 

Section C:  Golf Committee.  The Chairman may designate a representative who will be required to plan and conduct all competitions and prepare the schedule of games; including, but not limited to, the Club Championship, Net Match Play Competition, The Fall Classic, Home and Home and Resort Cup Competitions.

Section D:  Handicap Committee:  The chairman will be responsible for scoring, handicap revisions, and advising the membership of any rules changes.

Section E:  Advisory Committee:  This committee will consist of at least three general members.  The purpose of such committee is to assist the Executive Committee, Golf Committee and Handicap Committee as required.

ARTICLE VII – DISCIPLINE/CODE OF ETHICS

Section A:  The Board of Directors shall be responsible for monitoring and enforcing discipline as necessary on a case-by-case basis.  All members shall comply with the Clubs’ Code of Ethics, which requires members to be present to play at any and all tournaments that they sign up for, and the members are required to treat all pro shop staff and Club representatives with respect.  Decisions made with regard to discipline will be made by majority vote of the Board of Directors.  Expulsion of any member will be by majority vote of the Board of Directors for good cause which will include, but not be limited to, violation of rules, handicap infractions, and other conduct which adversely affects the general membership.

ARTICLE VIII – AMENDMENTS

Section A.  These by-laws may be amended by a two-thirds vote of those attending the general membership meeting, providing there is a quorum at such meeting.
